Welcome to Sinapsis AI ("we", "us", "our"). These Terms of Service ("Terms") govern your access to and use of the Sinapsis AI platform, including its features, APIs, and related services ("Service").
1. Acceptance of Terms
By creating an account or using Sinapsis AI, you agree to these Terms and our Privacy Policy. If you are using the platform on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.
2. Description of Service
Sinapsis AI is an AI workflow control plane that allows you to:
- Build AI workflows using the models and approved routes available for your plan
- Create Knowledge Bases from uploaded documents for AI-powered search and retrieval
- Deploy workflows as production API endpoints
- Connect external services through integrations and governed capabilities
- Evaluate, observe, improve, and train AI systems using the features available to your organization
- Configure governance and compliance assessments, evidence, and runtime controls
The platform supports multi-tenant organizations, team collaboration, and cloud-hosted or self-hosted deployment. Feature availability, limits, and data handling depend on your plan, deployment model, and configuration.
3. Accounts and Access
You are responsible for maintaining the security of your account credentials, including passwords and two-factor authentication. You must provide accurate information during registration. Each user account is personal and must not be shared. Organization administrators are responsible for managing member access, roles, and permissions within their organization. You must notify us promptly if you suspect unauthorized access to your account.
4. User Data Responsibility
You are responsible for the data you upload, process, and store on the platform. This includes, without limitation:
- Documents uploaded to Knowledge Bases
- Workflow, agent, deployment, and integration configurations
- Prompts and content sent to AI models
- Evaluation, feedback, and training datasets
- Files uploaded through integrations
You represent and warrant that you have all necessary rights, consents, and permissions to upload and process such data, and that doing so does not violate applicable laws, regulations, or third-party rights.
5. Protected Health Information (PHI) and Sensitive Data
You may not upload, process, or store protected health information (PHI) as defined by HIPAA, or equivalent sensitive health data under other jurisdictions, unless a separate written agreement expressly authorizes it, including any required Business Associate Agreement (BAA). An Enterprise plan by itself does not authorize PHI processing.
Without that written authorization:
- Do not upload medical records, patient data, or health-related personally identifiable information
- Do not use Knowledge Bases to store clinical or diagnostic data
- Do not build workflows that process PHI
The platform's compliance features do not provide a HIPAA attestation or legal advice. A violation of this clause may result in immediate account suspension, and we disclaim liability for PHI uploaded without the required agreement.
6. AI Models, Inference, and Third-Party Providers
Sinapsis AI routes inference through the models and approved provider or deployment routes available for your organization. Connections to external software are governed separately by your plan and connection configuration.
Inference costs: Sinapsis AI may display usage and cost signals based on provider metadata, routing rules, and your plan's credit policy. Any charges from external software providers remain subject to those providers' pricing.
When you use AI features through the platform:
- You are responsible for complying with the terms of each model provider, infrastructure provider, or local deployment you configure
- Sinapsis AI is not responsible for the output, accuracy, availability, or pricing of AI models
- Model training, retention, and logging behavior depends on the provider or deployment mode you select
External connection credentials and SSO secrets are encrypted at rest. The applicable plan and connection configuration determine whether credentials are managed by Sinapsis or supplied by your organization. You remain responsible for the external software accounts and any costs incurred with those providers.
7. Acceptable Use
You agree not to:
- Use the platform to build workflows that generate illegal, harmful, or deceptive content
- Upload PHI or highly sensitive data without the written authorization required by Section 5
- Attempt to bypass rate limits, quotas, or security controls
- Reverse engineer, decompile, or extract source code from the platform
- Use the platform to compete directly with Sinapsis AI without prior written consent
- Upload malicious code, exploit vulnerabilities, or interfere with other users
- Use the platform to send unsolicited messages (spam) through connected integrations
- Attempt to access data belonging to other organizations or users
- Treat a compliance assessment, evaluation, or AI output as legal advice, certification, or a substitute for human review
8. Data Ownership and Training Features
You retain ownership of your data, including workflows, Knowledge Base documents, configurations, prompts, evaluation datasets, and training datasets. Sinapsis AI does not claim ownership of your data.
We do not use customer data to train Sinapsis-owned general models without your direction. If you use a Training or Fine-Tuning feature, you instruct the Service to process the selected data for that job, subject to the applicable provider and deployment terms.
Upon account or organization deletion, data is handled according to the retention, export, deletion, and legal-hold rules described in our Privacy Policy.
9. Service Plans and Billing
Sinapsis AI offers free and paid plans with different usage quotas, seats, credits, and features. Paid subscriptions or metered usage may be billed through Stripe or another payment process identified at checkout. Enterprise access may be governed by a separate commercial agreement.
The pricing, quotas, usage rules, and renewal terms shown at checkout or in a separate agreement control the applicable transaction. Unless required by law or expressly stated in an agreement, we do not provide refunds for partial billing periods. We may modify plan pricing, quotas, or features with reasonable advance notice where required.
10. Data Residency
For the current cloud-hosted service, primary platform infrastructure is hosted in the European Union, currently in the Netherlands. Data may be processed outside the EU or European Economic Area when your organization configures an external provider or when a service provider is located elsewhere; applicable safeguards are described in our Privacy Policy. For self-hosted deployments, data residency is under your control.
11. Availability and Support
We aim to maintain high availability but do not guarantee uninterrupted or error-free service. Scheduled maintenance will be communicated in advance when possible. Support is provided on a best-effort basis for free plans and according to the applicable plan or commercial agreement for paid plans. We are not liable for downtime caused by third-party providers, force majeure, or circumstances beyond our reasonable control.
12. Limitation of Liability
To the maximum extent permitted by applicable law:
- Sinapsis AI is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We are not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including loss of data, revenue, profits, or business opportunities.
- Our total aggregate liability for claims arising from or related to the Service shall not exceed the amount you paid to Sinapsis AI in the twelve (12) months preceding the claim.
- We are not liable for the output, accuracy, or consequences of AI-generated content produced through the platform.
- We are not liable for data loss resulting from your failure to maintain backups or from deletion of your account.
13. Suspension and Termination
By Sinapsis AI: We may suspend or terminate your account, with or without notice where permitted by law, if:
- You violate these Terms, including the PHI restrictions in Section 5
- Your usage poses a security risk to the platform or other users
- Your account is used for fraudulent or illegal activity
- You fail to pay for a paid subscription after reasonable notice
- Required by law or regulatory order
Upon suspension, access to the platform is disabled. Upon termination, data is deleted, retained, or preserved according to applicable retention policies, contracts, legal obligations, backups, and legal holds.
By you: You may request account deletion through Settings > Security & Data > Privacy, subject to the account, organization, subscription, and ownership checks shown by the Service. You may also request deletion by contacting [email protected]. Deleting a user account does not necessarily delete organization-owned data, audit records, provider-held data, or data retained under a legal obligation.
14. Indemnification
You agree to indemnify and hold harmless Sinapsis AI, its officers, directors, and employees from claims, damages, or expenses arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of third-party rights, or (d) data you upload or process through the platform, including PHI uploaded without the required written authorization.
15. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect where required. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms. If you disagree with the changes, you may stop using the Service and request account closure.
16. Governing Law and Disputes
These Terms are governed by the laws applicable in the European Union and the Kingdom of Spain. Any disputes arising from these Terms or your use of the Service shall be submitted to the courts of Spain, subject to mandatory consumer protections and other applicable law.
17. Compliance and AI Governance Features
Compliance assessments, control packs, evidence references, evaluations, and runtime gates are operational tools to support review and governance. They do not provide legal advice, certify compliance, provide a HIPAA attestation, or establish conformity with the EU AI Act, GDPR, SOC 2, ISO standards, or any other framework. You remain responsible for determining your obligations, selecting appropriate safeguards, and obtaining professional advice where necessary.
18. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
